to make recoinAendations to the Board concerning staff agreements and all matters of relationship between staff and Trustees, and to have general oversight of the educational work of the University. e. When either the President or Vice-President of the University is in the United States he shall be ex officio a member of each of the standing committees of the Trustees, without vote. f. Each committee shall act subject to any directions or restrictions that the Board may from time to time set forth. It shall make a report at the annual meeting of the Board, which report shall be entered in the minutes of the meeting. 7. MEETINGS: Two regular meetings shall be held annually, one each in April and October. The annual meeting shall be held in October. It may be adjourned for a period not to exceed one month, either by a quorum of the members then present, or by the written consent of two-thirds of the members, such consent having been placed in the hands of the Secretary. Special meetings may be called by the President, or, in his absence, by a Vice-President, or by the senior Trustee in point of service on the written request of three Trustees. Notice of the time and place of every meeting shall be mailed to each Trustee not less than five or more than ten days before the meeting. 8.DUTIES: The duties of the Board of Trustees shall be those commonly belonging to such bodies. In particular, acting under their Charter from the University of the State of New York, they shall have control of all funds and properties belonging to the Cairo University or held by them in trust for the purpose of Christian education in Egypt; they shall appoint the officers and the faculty of the University, and the Council of such faculty, they shall make or approve the rules govern-ing the administration and policy of the institution; and they shall confer degrees subject to the rules of the Board of Regents. 9. EXECUTION OF DOCUMENTS: The signatures of the President and the Treasurer, or of a Vice-President and the Treasurer, shall be requisite for the execution of any legal document relating to the University. 10. PAYMENTS BY THE TREASURER: The Treasurer shall pay out of the funds of the Board such sums as have been authorized by the Trustees and such other sums as are authorized by the executive committee, providing that at no time the appropriations of the executive committee exceed $5000 for any one year. Bills presented for payment must be approved by the Chairman of the Committee or the officer within whose sphere the expense has been incurred and by one of the Secretaries. 46
