07 1 October 2, 13, 1919 APPENDIX A BY-LAWS OF THE AMERICAN UNIVERSITY AT CAIRO ARTICLE I Declaration of Purpose. The purpose of the Trustees of the American University at Cairo is to promote Christian education for the youth of Egypt and adjacent lands the establishment of an institution of learning of the high-est standards of educational efficiency so as to discover to the Moslem world those living springs which are to be found in Christ and which alone suffice for the energizing of the intellectual life, the regeneration of society and the redemption of the individual life. ARTICLE II The Board of Trustees. 1. MEMBERSHIP The Board of Trustees snail consist of not less than twelve members. All vacancies in the Board shall be filled by the Trustees at the annual meeting or at a special meeting called for the purpose and the election shall be subject to the provisions named in the Articles of Incorporation and shall be by ballot. The President of the Univer-sity shall, when in America, be ex officio a consultative meAber of the Board, but without vote. No person shall be ineligible as a Trustee by reason of sex. 2. ABSENCES. If any Trustee shall fail to attend three consecutive meetings without a written excuse, ccepted as satisfactor to the Board not later than at the third consecutive meeting from which he has been absent, he shall be deemed to have resigned and the vacancy shall be filled. kUOR U.JI . A majority of the Trustees shall constitute a quorum for the transaction of routine business at any meeting of the Board, but for the changing of general policies, for the appropriating of sums in excess of 40,000, unless in execution of action already approved by the Board, and for the election of officers, two-thirds of the Trustees shall be required to constitute a cquorud. 4. OFFICERS. The Officers of the Board of Trustees shall consist of a Chairman, one or more Vice-Chair an, a Recording Secretary, a Treasurer, and one or more General Secretaries. These officers shall perform the duties commonly attached to their respective positions. They shallbe elected from among the Trustees by ballot at the close of each annual meeting to serve ad interim and until the close of the following annual meeting, or until their successors are elected.
