ADOPTION OF BY-LAMS Upon motion of Mr. Harbison, seconded by Dr. Chamberlain the following By-Laws were adopted.: (See Appendix A) . 4. NOMINATING Upon motion of Mr. Olcott, seconded by Dr. COMMITTEE McClurkin, the following persons were asked to serve as a Committee on Nominations: George Innes, Chairman; R. W. Harbison; Charles R. Watson. 5. TRANSFERENCE Dr. Watson read a resolution passed by the OF RIGHTS Board of Trustees of Cairo University (Un-incorporated) , as follows: WHEREAS, In Articles of Incorporation signed by Henry B. F. Macfarland, John B. Larner, and Charles Roger Watson, on July 11, 1919, in the District of Columbia, as a body corporate under an Act of the Congress of the United States of America, to establish a Code of Law for the District of Columbia, approved March third, nineteen hundred and one, the following fifteen persons were designated to be the Trustees of said body corporate with the title THE AMERICAN UNIVERSITY AT CAIRO; Harlan Page Beach, William Isaac Chamberlain, William Henry Steele Demarest, Ralph Warner Harbison, William Bancroft Hill, George Innes, Melvin Grove Kyle, James Henry Lockhart, John Knox McClurkin, Eben Erskine Olcott, George Milliken Paden, George Living-stone Robinson, Fred Omer Shane, Henry Canty ell Wallace, Charles Roger Watson. WHEREAS, also, said Trustees are identical v;ith the Trustees of this present Board which has operated, although not legally incorporated, under the title THE BOARD OF TRUSTEES OF CAIRO UNIVERSITY, and at times has been desig-nated and known also as CAIRO SHRISTIAN UNIVERSITY, and THE AMERICAN UNIVERSITY Al CAIRO, and other variant titles, until such time as its title might become fully defined and it might become legally incorporated, RESOLVED, That this Board shall and hereby doth trans-fer to THE AMERICAN UNIVERSITY AT CAIRO, all of its proper-ties, rights, relationships, and obligations, including its minutes, records, bank accounts, stocks, bonds, annuity obligations, trust funds, whether held in America or in Egypt, in full and absolute possession and authority 9
