5. Changes to the Trustee By-Laws- The Executive Committee reviewed the proposed changes to the Trustee By-Laws. There was some discussion of whether it was advisable to reduce the number of Trustees necessary for a quorum from one-half to one-third of the active Trustees for all business except changing th,e By-Laws since this would theoretically allow 17% of the Board to act for the Board as a whole. The observation was made that it would be prudent to have rules stipulating what constitutes a quorum for the Executive Committee and that the current practice of taking Executive Com­mittee action through circulation should be covered by the By-Laws. In view of the proposed deletion of Article II. 10 (Execution of Documents) which defines who should be signatories on University and Board., the question was raised as to whether some defillition here might be usefully retained. It was decided that the Dr. McDonald and the AUC Administration should 'have the opportuni­ty to review these changes and that action on them could be taken at the Annual meeting in Cairo or the May Board meeting. 6. Structure of Trustee Committees - There was general discussion of the recommendations for changing the structure of the Trustee Committees and agreement that it would be advantageous to be able to hold the Committee and the Board meetings on a single day. There was general agreement that reducing the number of Board Committees would be desirable. The Committee agreed to continue the discussion of these recommendations at the Annual Board meeting in Cairo allowing Dr. McDonald time to review the proposed changes and offer suggestions. 7. Certificate of Board Action - The following resolution was proposed for adoption: The responsibilities of the President of The American University in Cairo are as follows: He shall be responsible to the Board of Trustees for the administration and operation of the University, including staffing, programming, building, budgeting, tuition and fees, expending and accounting for all its funds, acquisition and disposal of buildings and real estate, acquisition and disposal of equipment and materials, promoting good relations in the Cairo setting and providing the educational leadership for the University. Mr. Hedlund said that he understood this to mean that the President would still have to obtain Board approval for purchase and sale of property. The Executive Committee approved the res­olution as presented.
