In this article we define outsourcing as the transfer of all or part of the existing information systems of a firm to a third party. The article bases its argument on the main model of the transaction costs theory. Traditionally, this model concerns the choise between doing and having done. In the case of outsourcing, the firm has already made substantial investments over several years. We thus develop an original analysis to help answer the following question : under witch conditions can a firm transfer ownership rights on highly specific equipment and software, and establish a long-term relationship with the supplier ?
