Instituto dėl esminių aplinkybių pasikeitimo lyginamoji analizė Jungtinių Amerikos Valstijų, Europos Sąjungos ir Lietuvos sutarčių teisėje

Contract flexibility in cases of changed circumstances is much more needed now because of current economic crisis. At the same time contract stability is also required on which future performance can be relied. A difficult problem arises especially in the long – term contracts when an unexpected event hinders performance of the contract. This kind of problems occur when unforeseen event make performance legally or physically impossible, or too difficult, impracticable or expensive. Many theories on this problem have been developed in different countries under the different names, like impracticability, hardship, force majeure and the like. Each contracting party knows that there is always the risk that contract circumstances, under which contract was concluded, will change. There is also probability that, under such changed situation, parties would have never been concluded a contract. This kind of problem exists in each country and each country more or less regulates it. In this master’s degree scientific work the United States, European Union and Lithuania contract law were chosen and the main task is to compare them, identify similarities and differences. Thus, the topic here is: “Comparative analysis of institute of changed circumstances in the United States, European Union and Lithuania contract law”. The hypothesis is raised that the concept of the institute of changed circumstances in the contract law of the United States, European Union and Lithuania is the same. In order to confirm or deny the hypothesis, the following objectives are established: • To present the history and nature of the problem. The doctrine of changed circumstances derived from sacred principle of the classical law of obligations pacta sunt servanda, which means that contracts are binding on any conditions. However, even in Roman law, no contract was absolutely binding or binding under all circumstances. Thus, the doctrine of changed circumstances was introduced. It means that contract is binding only in so far as the circumstances remain the same as at the time of the conclusion of the contract. In civil law countries there are many models of that doctrine, like hardship, force majeure, etc, and common law countries achieved the same results using doctrine of impracticability, impossibility, etc. • To introduce with general characteristics which lead to application of institute of changed circumstances. Analyzing the contract law of chosen legal systems interesting is that they all use the same four parts test, which must be accomplished by the contracting party that seeks to rely on the mentioned doctrine of changed circumstances or impracticability. These four parts are: o Unforeseen event must happen after the conclusion of the contract, o That event must be not foreseeable by the contracting parties at the conclusion of their contract, o Contracting parties could not take a control over that event, o The risk of that event occurrence was not assumed by the contract parties. • To look up what contracts provisions due to unforeseen events can be found in practice. The contract can include force majeure, price escalation and other clauses that protect contracting parties from the consequences of such events occurrence. A good example of contract provision due to unforeseen events is an exemption clause prepared by the United Nations Economic Commission for Europe (ECE). No less important are statements in Unfair Contract Terms Act (1977) that accentuate that liability for personal injury or death which results from your negligence cannot be excluded; that exemption clauses must be reasonable and that contract cannot be altered without the consent of the other party. • To formulate conclusions, based on analysis made. According to the analysis made, it seems that the understanding of all the four requirements in chosen legal systems is the same. However, the application field of impracticability differs – Uniform Commercial Code (UCC) allows impracticability in delay or non – performance cases, whereas Civil Code of the Republic of Lithuania and the UNIDROIT Principles provide an exemption in cases of increased cost of performance or decreased benefit. Thus, the hypothesis, that the concept of the institute of changed circumstances in the United States, European Union and Lithuania contract law is the same, must be denied.Principas pacta sunt servanda reiškia, jog sutartis privalo būti vykdoma bet kokiu atveju. Tačiau net ir Romėnų teisėje buvo teigiama, jog nei viena sutartis nėra absoliučiai privaloma ar privaloma bet kokiomis aplinkybėmis. Dėl to esminių aplinkybių pasikeitimo institutas ir buvo sukurtas. Minėtas institutas reiškia, kad sutartis bus vykdoma tol, kol aplinkybės, kuriomis sutartis buvo sudaryta, nepasikeis. Tačiau skirtingos valstybės į savo sutarčių teisę ši institutą įdiegė skirtingai. Darbe analizuojamos Jungtinių Amerikos Valstijų, Europos Sąjungos bei Lietuvos sutarčių teisės, t.y. lyginama, kaip kiekviena iš minėtų teisinių sistemų supranta pasikeitusių esminių aplinkybių doktriną, kaip ir kokiais atvejais ją taiko. Taigi, šio darbo tema: „Instituto dėl esminių aplinkybių pasikeitimo lyginamoji analizė Jungtinių Amerikos Valstijų, Europos Sąjungos ir Lietuvos sutarčių teisėje“. Darbe keliama hipotezė, jog pasikeitusių esminių aplinkybių doktrinos samprata Jungtinių Amerikos Valstijų, Europos Sąjungos ir Lietuvos sutarčių teisėje yra tokia pati. Kad patvirtinti arba paneigti hipotezę, iškelti sekantys uždaviniai: • Atskleisti šio instituto sampratą, kilmę, • Apžvelgti reikalavimus, kurie yra keliami sutarties šalims, norinčioms pasinaudoti esminių aplinkybių pasikeitimo institutu, • Trumpai apžvelgti, kaip šis institutas yra taikomas praktikoje, • Remiantis atlikta analize, pateikti išvadas. Atlikus šios instituto analizę, nustatyta, jog Jungtinių Amerikos Valstijų, Europos Sąjungos bei Lietuvos sutarčių teisė kelia tuos pačius reikalavimus sutartiems šalims, norinčioms pasinaudoti šiuo institutu: • Aplinkybės ar įvykiai turi atsirasti ar tapti žinomi sutarties šalims tik po sutarties sudarymo. Priešingu atveju, laikoma, jog šalys prisiėmė tų aplinkybių atsiradimo riziką ir todėl negali remtis esminių aplinkybių pasikeitmo doktrina. Taip pat nustatyta, jog Jungtinės Amerikos Valstijos šią doktriną taiko tik sutarties įvykdymo vėlavimo arba neįvykdymo atvejais, tuo tarpu Europos Sąjunga bei Lietuva – sutarties įvykdymo išlaidų padidėjimo arba gaunamos naudos sumažėjimo atvejais. Tai yra pagrindinis skirtumas. • Tos aplinkybės negalėjo būti protingai numatytos sutarties sudarymo metu. Šitame etape visos pasirinktos teisinės sistemos naudoja „protingo žmogaus kriterijų“, pagal kurį, jei protingas žmogus, kuris nėra nei optimistas, nei pesimistas, esant tokioms pat aplinkybėms, būtų numatęs, jog tam tikros aplinkybės ar įvykiai gali įvykti, tuomet ši – esminių aplinkybių pasikeitimo – doktrina netaikoma. • Sutarties šalis tų aplinkybių negali kontroliuoti. Čia vėl susiduriama su „protingo žmogaus kriterijumi“. Sutarties šalis privalo imtis visų tinkamų priemonių, siekdamos išvengti ar kontroliuoti tas aplinkybes. • Sutarties šalis nebuvo prisiėmusi tų aplinkybių atsiradimo rizikos. Ar šalis buvo prisiėmusi riziką, ar ne, matyti iš sutarties. Šalys nebūtinai turi būti įtraukę tokią nuostatą į sutartį; rizikos prisiėmimo nuostata gali būti ir numanoma, t.y. gali išplaukti iš pačios sutarties. Atlikta analizė parodė, jog pasirinktos teisinės sistemos taiko tuos pačius reikalavimus instituto dėl esminių aplinkybių pasikeitimo taikymui. Skirtumas yra tas, jog Jungtinės Amerikos Valstijos šį institutą taiko tik sutarties įvykdymo vėlavimo arba sutarties neįvykdymo atvejais, kai tuo tarpu Europos Sąjunga bei Lietuva – sutarties įvykdymo išlaidų padidėjimo arba gaunamos naudos sumažėjimo atvejais. Todėl darbo pradžioje iškelta hipotezė – instituto dėl esminių aplinkybių pasikeitimo samprata Jungtinių Amerikos Valstijų, Europos Sąjungos ir Lietuvos sutarčių teisėje yra tokia pati – yra paneigta.Vytauto Didžiojo universiteta
