Due Diligence of the Company A L I C O, spol. s.r.o. for M&A purposes

The aim of this thesis is to carry out Due diligence of ALICO, spol. s.r.o. for the purposes of M&A transactions from the perspective of a financial investor. The main subject of the thesis is financial Due Diligence with the help of horizontal and vertical analysis of the company's financial statements, together with the analysis of the company's ratio indicators and the determination of EVA. The work also includes the commercial Due Diligence of the company, based on SWOT, PESTLE analysis methods and Porter's five-force model. The work briefly takes into account the legal and tax Due Diligence also, with restrictions in terms of information provided by ALICO spol. s.r.o.. The summary of the thesis is the recommended method of entry and valuation of the subject for the aimed M&A transaction.Cílem této práce je provedení Due Diligence společnosti ALICO, spol. s.r.o. pro účely M&A transakce z pohledu finančního investora. Hlavním předmětem práce je finanční Due Diligence s pomocí horizontální a vertikální analýzy účetních výkazu společnosti, spolu s analýzou poměrových ukazatelů společnosti a určením EVA. Práce dále zahrnuje i obchodní Due Diligence společnosti, ve které byly použity metody SWOT, PESTLE analýzy a Porterová modelu pěti sil. V práci je stručně přihlédnuto i právní a daňové Due Diligence s omezením z hlediska informací poskytnutých ALICO spol. s.r.o.. Závěrem práce je doporučená metoda vstupu a ocenění předmětu pro transakci M&A
