La aplicación de la denominada business judgment rule en el derecho argentino / The business judgment rule under Argentine law

Directors & Officers (D&O) must observe strict duties of behavior, whose breaking may lead to liability´s imputations. The business judgment rule is a moderation of the liability regime, and states that judges do not review certain business decisions made by D&O. The requirements to apply this rule are: a) the decisions were within the sphere of competence of the D&O, were not a legally imposed and were not a willfully behavior; b) the determination involves not assume extraordinary risks; and c) D&O got adequate and sufficient information before taking the determination. Under Argentine law there is no rule that refers to the business judgment rule, there are no relevant legal precedents regarding the issue, and few authors addressed this problem. The application of the business judgment rule presupposes that D&O did not act willfully or with gross negligence. But in Argentina are discussed the liability of D&O for mild or slight fault. Same authors think D&O do not have liability in this cases but only when they act with malice or gross negligence, and in this case the business judgment rule is inapplicable. We argue that there is liability in all cases of fault, regardless of their degree. So becomes important business judgment rule, which allows D&O avoid liability´s attributions when they had not acted with malice or gross negligence.Los administradores societarios deben observar estrictos deberes de comportamiento y, si no lo hacen, puede imputárseles responsabilidad. La business judgment rule es una morigeración al régimen de responsabilidad y establece que los jueces no revisarán las decisiones empresarial tomadas por los administradores, quienes no podrán ser responsabilizados por ellas. Son requisitos para aplicarse esa regla: a) que la decisión esté dentro de la esfera de la competencia del administrador, no se trate de una imposición legal y no fuera un comportamiento doloso; b) que no hubiera significado la asunción de riesgos extraordinarios y c) que los managers se informaron en forma adecuada y suficiente antes de tomarla. En el derecho argentino no hay una norma que se refiera a la business judgment rule, no hay antecedentes jurisprudenciales relevantes con relación al tema y son pocos los doctrinarios que se han ocupado de abordar esta problemática. Su aplicación presupone que los administradores no actuaron con dolo ni con culpa grave. En la doctrina vernácula se discute si hay responsabilidad de los administradores por culpa leve o levísima. Un sector de los autores afirma que no, y sostiene que sólo hay responsabilidad si se actuó con dolo o culpa grave y, en este caso, la BJR es inaplicable. Nosotros sostenemos que hay responsabilidad en todos los casos en los que haya culpa, sin importar su grado, y, en este supuesto, adquiere importancia la business judgment rule, que permite sustraer a los managers de responsabilidad cuando no hubieran actuado con dolo ni culpa grave.
