LA DISCIPLINA DE LA RESPONSABILIDAD DE LOS ADMINISTRADORES EN EL GRUPO DE SOCIEDADES (BURSÁTILES Y COOPERATIVAS)

This headwork presents an analysis about the responsability of the administrators in the company groups, particularly in the publiccompany and in the cooperative society. The object of analysis is: a)definition, characteristic, fixing by-law and b) the general legal rulesapplicables to the responsability of the administrators in the contextof our stock company law.This rules are applicable to the public company and also tothe cooperative society. The study of this rules demonstrate that theyare insufficient in order to the company group and, more weight, theignorancet of the particularities of each type of companies. This matterisn t contained in our company law. Bay that, in this head work areincluded somes solutions about the rules of the administratorsresponsability that must be introduced in the Spanish companies law.En el presente trabajo se analiza la responsabilidad de losadministradores en el derecho de grupos de empresas, en particular,en las sociedades cotizadas y en las sociedades cooperativas. Elobjetivo de este análisis es determinar una definición, característicasy normativa aplicable al grupo empresarial y en concreto en lorelacionado con la responsabilidad de los administradores en elfuncionamiento del grupo de sociedades.De este modo se particulariza el análisis, primero, respecto a lassociedades cotizadas y, segundo, en lo que hace a las sociedadescooperativas. Del análisis de estas normas se infiere una insuficienciaen torno a la responsabilidad de los administradores, ya que hemos deacudir a la legislación general de la sociedad anónima al no existirparticularidades dentro de cada uno de los subtipos societarios. Estainsuficiencia pretende ser superada en este trabajo por mediación deuna serie de soluciones de carácter genérico que delimitaría laresponsabilidad de los administradores en el grupo de sociedades
