To The Question On The Legal Status Of Commercial Organizations (The Short Story Of The Civil Legislation)

In the present article author analyzes novels of civil law regarding in regard to the legal regulation of commercial organizations. Changes to the list of business entities and these legal entities classification are discussed. In addition to the previously existed division of legal entities depending on the purpose of their activity as commercial and non-for-profit organizations, law introduced new criteria. One of them is the possibility of having the right of participation (membership) in the organization. In accordance with this legal entities are classified as corporate and unitary organization. In addition commercial organizations are divided into public and nonpublic. Changes affected provisions on the establishment and termination of organization’s activity that pursue aim of these procedures unification, regardless of the entity legal form. The provision on the statute, as the only founding document of the legal entity is added. The possibility of comprehensive reorganization, previously unknown to the Civil Code of the Russian Federation, as well as mixed reorganization that was applicable only to shareholder companies appeared. Base for liquidation of the legal entities are refined and expanded. At the same time a number of issues that so far were not yet resolved in the civil legislation are points out
