Board Governance and Sustainability Disclosure in Nigeria Listed Deposit Money Banks

There is low disclosure of sustainability matters (environment, social, governance) among Nigerian banks. It is true the board plays significant part in ensuring disclosure (Global Reporting Initiatives, 2006). We look at how board governance affects sustainability reporting for 2012 through 2021. The sample was 13 because it was limited to deposit money banks. The study adopted correlational research design and the data were analyzed with the aid of multiple regression model based on Probit estimation. This study found board independence positive and significant, while board size, meeting, gender diversity, share ownership, and remuneration are insignificant. On the control variables, ownership concentration, debt and listing age are significant, while firms with the big4 auditors are insignificant. This is among the few studies to examine board governance and sustainability exposé. However, a discussion on the role of board governance is necessary. The paper calls for more studies on whether board governance determines sustainability disclosure. This conclusion is important for shareholders and regulators to appreciate that board size, the frequency of board meetings, women on the board, equity holdings by members of the board and their remuneration have no bearing on sustainability disclosure
