Condonaciones de créditos intra-grupo: régimen contable, jurídico y fiscal. Análisis de la doctrina del ICAC y de la Dirección General de Tributos

In the recent past, there has been an increasing trend towards the total or partial free cancellation of intra-group credit rights. The goals of these cancellations may vary but, in general, they are aimed at strengthening the borrower’s equity structure or resolving equity impairment situations. Given the frequency of the transactions and their significant importance from a practical standpoint (especially within the context of the current economic crisis, in which companies are having increasing difficulty coping with their debts), it is necessary to analyse the accounting and tax treatment of these free cancellations (paying close attention to the interpretation of the matter by the Spanish Chartered Accountants’ Institute and the Spanish General Directorate of Taxes) as well as describe the legal procedure to be used to carry them out. The authors pursue those goals in this paper.Se observa en los últimos tiempos una tendencia creciente a la condonación parcial o total de créditos entre empresas pertenecientes a un mismo grupo de sociedades. Los objetivos de estas condonaciones de créditos intra-grupo son variados, pero normalmente se busca reforzar la estructura de fondos propios o solucionar situaciones sobrevenidas de desequilibrio patrimonial de las entidades del grupo prestatarias. Dada la frecuencia de estas operaciones y su importancia creciente en la práctica (especialmente en un contexto de crisis económica como el actual, en el que las dificultades de las empresas para hacer frente a sus deudas son, desgraciadamente, cada vez más habituales), se hace necesario analizar el impacto contable y fiscal de estas operaciones de condonación (con especial atención a la doctrina sobre el particular del Instituto de Contabilidad y Auditoría de Cuentas y de la Dirección General de Tributos) así como el procedimiento legal a utilizar para llevarlas a cabo. Eso es, precisamente, lo que los autores han pretendido realizar por medio de este artículo
