Chi inquina, paga

In Judgment No. 4 of 22/10/2019, the Council of State ruled on the admissibility of an order for the remediation of polluted sites under article 244 of the Environmental Code against a company not directly responsible for the pollution, but which succeeded the company responsible by merger by incorporation. The resolution of the question passes through the legal qualification of the conduct of environmental pollution prior to the introduction of the reclamation of polluted sites. It is necessary to analyze the relationship between this conduct and the institution of reclamation, which is legislatively subsequent, and to answer the questions, on the one hand, whether it is possible to order reclamation for facts dating back to a period prior to the introduction of the latter at legislative level, and, on the other hand, and in the event of a positive answer, whether it is possible to do so in the context of extraordinary corporate operations, such as mergers, which have led the liable company to no longer be directly liable for the harmful act. Therefore, there is a need to clarify the transmissibility of obligations and liabilities resulting from the commission of a tort due to extraordinary corporate transactions. In the examination of the legal issues set forth, the paper focuses on the prevention and repair of environmental damage and the analysis of the imputation regime of related liability.Con la sentenza n. 4 del 22/10/2019, il Consiglio di Stato si è pronunciato sull’ammissibilità di un ordine di bonifica di siti inquinati ai sensi dell’articolo 244 del codice dell’ambiente a carico di una società non direttamente responsabile dell’inquinamento ma subentrata a quella responsabile per effetto di fusione per incorporazione. La risoluzione della questione passa per la qualificazione giuridica della condotta di inquinamento ambientale antecedentemente alla introduzione della bonifica dei siti inquinati. Occorre analizzare i rapporti tra questa condotta e l’istituto della bonifica, normativamente successivo, e dare risposta ai quesiti, per un verso, se sia possibile ordinare la bonifica per fatti risalenti ad epoca antecedente alla introduzione di quest’ultima a livello legislativo, per l’altro, e in caso di risposta positiva, se sia possibile farlo in un contesto di operazioni societarie straordinarie, quale è la fusione, che hanno portato la società responsabile a non essere più direttamente imputabile per il fatto dannoso. Pertanto, serve fare chiarezza sulla trasmissibilità degli obblighi e delle responsabilità conseguenti alla commissione di un illecito per effetto di operazioni societarie straordinarie.
