PERLINDUNGAN HUKUM TERHADAP PEMEGANG OBLIGASI DALAM PASAR MODAL ATAS PERBUATAN MELAWAN HUKUM YANG DILAKUKAN WALI AMANAT DITINJAU DARI PERSPEKTIF HUKUM INVESTASI DAN PASAR MODAL

ABSTRACTThis study examines the relationship between bondholders and bond sellers and trustees as well as the legal protection of bondholders for unlawful acts committed by the trustee as a service provider of debt securities in the perspective of investment law and capital markets. The research method in this study is normative legal research, using several research methods such as the statutory approach and the conceptual approach. The legal materials used are primary, secondary and tertiary. The legal material analysis technique used is a qualitative descriptive analysis technique. This study explains that there is a need for regulation regarding bondholders being able to act legally both inside and outside the court regarding the relationship between bondholders and the trustee. However, based on the provisions of Article 53 jo. Article 111 of Law Number 8 of 1995 Bondholders who suffer losses due to the negligence of the trustee can claim compensation from the trustee.Keywords: Legal Protection, Bondholders, Unlawful Acts, Trustee ABSTRAKPenelitian ini meneliti tentang hubungan antara pemegang dengan penjual obligasi dan wali amanat serta perlindungan hukum pemegang obligasi atas perbuatan melawan hukum yang dilakukan wali amanat sebagai penyedia jasa pengurusan surat utang dalam perspektif hukum investasi dan pasar modal. Metode penelitian dalam penelitian ini yakni penelitian hukum normatif, menggunakan beberapa metode penelitian seperti pendekatan perundang-undangan (statue approach) dan pendekatan konseptual (conseptual approach). Bahan hukum yang digunakan ialah primer, sekunder dan tersier. Teknik analisis bahan hukum yang digunakan ialah Teknik analisis deskriptif kualitatif. Penelitian ini menjelaskan bahwa perlu adanya pengaturan mengenai pemegang obligasi dapat bertindak secara hukum baik didalam maupun diluar pengadilan terkait hubungan pemegang obligasi dengan wali amanat. Akan tetapi berdasarkan ketentuan pasal 53 jo. pasal 111 Undang-undang Nomor 8 Tahun 1995 pemegang obligasi yang mengalami kerugian akibat kelalaian wali amanat dapat menuntut ganti rugi kepada wali amanat.Kata Kunci : Perlindungan Hukum, Pemegang Obligasi, Perbuatan Melawan Hukum, Wali Amana
