The concept of "limited liability" and its implementation in the laws of the 19th century (e.g. in France, the laws of 23 May 1863 and 24 July 1867; in England, the laws of 1856 to 1862 on joint-stock companies limited) is, according to Y.N. Harari in his famous work SAPIENS , "one of the most ingenious inventions of mankind". It allows shareholders to increase the productive assets they control (premises, machines, vehicles, etc.) and from which they benefit by limiting their investment and financial risk to a minimum: the all-powerful shareholders make the company bear the major part of the investments and all the risks, whereas the company is non-existent in law but is therefore likely to disappear , to the great displeasure of its staff, in the event of dissatisfaction on the part of the shareholders as to the results obtained.The 1901 law on associations, by mobilising the new concept of legal person, allows them to be subjects of law, to own property, to have a commercial activity and to be lucrative, just like a company. However, any profits cannot be shared: they must remain in the association's account and be used in accordance with its purpose.This article explains (1-) the debates preceding the laws of 1863 and 1901, highlighting the concerns of the time, (2-) the functional similarity between companies and associations, (3-) the details needed to consider "limited liability" and the financial tricks allowed by this ingenious invention, (4-) the speeches of the "socialists" of the time and of the "leftists" of today, and (5-) the major impact of a company that is a subject of law on capital appropriation: from 'limited liability' to 'shared liability and ownership'.Le concept de « responsabilité limitée » et sa mise en œuvre dans les lois au 19. siècle (ex : en France, lois du 23 mai 1863 puis du 24 juillet 1867 ; en Angleterre lois de 1856 à 1862 sur les Joint-Stock Company limited) compte, d'après Y.N. Harari dans son célèbre ouvrage SAPIENS1, « parmi les inventions les plus ingénieuses de l’humanité ». Elle permet en effet aux actionnaires d'accroître le patrimoine productif qu'ils contrôlent (locaux, machines, véhicules, etc..) et dont ils tirent bénéfice en limitant au maximum leur mise et leur risque financier : les actionnaires tout puissants font porter à l'entreprise la majeure partie des investissements et tous les risques alors que celle-ci est inexistante en droit mais est donc susceptible de disparaître2, au grand dam de son personnel, en cas d'insatisfaction des actionnaires quant aux résultats obtenus.La loi de 1901 sur les associations, en mobilisant le concept nouveau de personne morale, permet à celles-ci d'être sujets de droit, de posséder des biens, d'avoir une activité commerciale et d'être lucratives, et ce comme une entreprise. Par contre, les éventuels bénéfices ne peuvent être partagés : ils doivent rester sur le compte de l'association et être utilisés conformément à son objet.Cet article expose (1-) les débats précédant les lois de 1863 et 1901 en y soulignant les préoccupations de l'époque, (2-) la similitude fonctionnelle entre entreprises et associations, (3-) les précisions nécessaires pour considérer la « responsabilité limitée » et les astuces financières permises par cette ingénieuse invention, (4-) les discours des « socialistes » de l'époque et des gens « de gauche » aujourd'hui, et (5-) l'impact majeur d'une entreprise sujet de droit sur l'appropriation capitalistique : de la « responsabilité limitée » à la « responsabilité et propriété partagées »
