Family Holding and its applicability for heritage preservation and conflict mitigation

A family holding company is a company created to own the assets and rights of a family. From it,this paper discusses how the family holding can be applied to the planning of heritage preservation, succession planning organization and reduction of tax payments. Its defined objectives were to identify the benefits perceived with the creation of the holding company, understand the motivations for opening the holding and demonstrate how succession planning takes place from the holding. Therefore, a qualitative and descriptive research was carried out, in which the results were confirmed through consultations in theoretical approaches linked to the relevant legislation and through the case study in a family business, the data were constructed through interviews with those involved. The results show that the entrepreneur sees the evolution of the patrimony and the need arose for a model that facilitates the administration of the assets. A holding company presented as a viable alternative for protection against third parties with the inclusion of restrictive contract clauses, in addition to mitigating family conflicts of interest, because succession planning is done, through the distribution of quotas among family members. Another result found from the constitution of the holding is the reduction of costs related to succession and income, which proves the efficiency of this mechanism in the field of succession, tax savings and preservation of assets.UFU - Universidade Federal de UberlândiaTrabalho de Conclusão de Curso (Graduação)A holding familiar é uma sociedade criada para ser titular de bens e direitos de uma família. A partir disso, o presente trabalho aborda como ela pode ser aplicada para a preservação do patrimônio, organização do planejamento sucessório e redução de pagamentos de tributos. Os objetivos específicos foram: identificar quais as vantagens percebidas com a criação da holding; compreender as motivações para a abertura da holding; e demonstrar como ocorre o planejamento sucessório a partir da sua constituição. Para tanto, realizou-se uma pesquisa qualitativa e de caráter descritivo, na qual os resultados foram evidenciados por meio de consultas em abordagens teóricas vinculadas à legislação pertinente e, também, por meio de estudo de caso sobre uma empresa familiar, os dados foram construídos mediante entrevistas com os envolvidos. Os resultados evidenciaram que o empresário vê a evolução do patrimônio e, assim, surge a necessidade de um modelo que facilite a administração dos bens. A holding apresentou-se como alternativa viável para proteção dos bens contra terceiros com a inclusão de cláusulas restritivas no contrato, além de atenuar conflitos de interesses entre familiares, já que o planejamento sucessório é feito antecipadamente, mediante a distribuição de cotas entre os membros da família. Outro resultado encontrado a partir da constituição da holding consistiu na redução de custos relacionados à sucessão e aos rendimentos, o que comprovou a eficiência deste mecanismo no campo da sucessão, economia tributária e preservação dos bens
