International audienceRecent organizational economics literature has shown that agency theory is wrong from a legal standpoint and suggests building a renewed approach of corporate governance in cognitive capitalism. This article invites rethinking internal governance within modern firms based on a strong specific human capital. We propose to gather a theoretical framework relying on several building blocks from a team production approach to exhibit an internal governance structure of firms based on human capital. The article complements the team production model of corporate governance by addressing theoretical and practical issues associated with the development of a legally supported modern internal governance structure and is in line with the functioning of firms, which is increasingly based on the quest for more democratic and pluralistic governance.La littérature a récemment démontré que la théorie de l’agence était fausse d’un point de vue juridique et suggère qu’il est nécessaire de construire une nouvelle approche de la gouvernance dans le cadre d’une économie cognitive.. Cet article se concentre sur une question peu traitée en économie industrielle, qui est celle de la gouvernance interne des organisations modernes. En nous fondant sur une approche relevant du courant law & economics de type organisationnel, nous contribuons à la littérature en proposant un nouveau cadre théorique mettant en évidence le rôle majeur joué par la gouvernance interne des entreprises dans les relations industrielles. Cet article complète l’approche de la team production en abordant les questions théoriques et pratiques associées à cet enjeu essentiel et s’inscrit dans la recherche d’une gouvernance plus démocratique et plus pluraliste des entreprises capitaliste
