The article provides comparative analyses of the legal definition and some key legal characteristics of the legal capacity of legal entities of the People’s Republic of China and the Russian Federation. The author introduces legal analyses of the implementation of ultra virus doctrine in the PRC’s corporate law. The article gives some examples of latest court decisions dealing with ultra virus actions of Chinese corporations.
