Innovation et stratégies d'acquisitions dans l'industrie pharmaceutique : analyses empiriques

An introductory chapter presents the recent mutations of the pharmaceutical industry as well as the concepts of radical patents and strategic patenting used in the three chapters of the dissertation. The second chapter analyzes the innovation performance of individual firms prior to the merger wave of the 1990s. Our results indicate that radical patenting is not persistent in the short term and that large pharmaceutical groups experience difficulties in producing radical patents. The third chapter considers the technological determinants of mergers and acquisitions in the pharmaceutical industry and identifies the technological quality of the potential targets' patent portfolios as a fundamental selection criteria. Accordingly, the final chapter shows that these mergers and acquisitions have improved the technological performance of acquirers in biotechnology : in the years following such operations, the proportion of radical biotechnology patents in the acquirers' patent portfolios has increased more rapidly than for non-acquirersLe chapitre introductif présente les évolutions récentes de l'industrie pharmaceutique et les concepts de brevets pionniers et de dépôts de brevets stratégiques analysés dans les trois autres chapitres de la thèse. Le second chapitre analyse la performance à l'innovation des entreprises pharmaceutiques avant la vague de fusions acquisitions des années 90. Selon nos résultats, les dépôts de brevets pionniers ne sont pas persistants sur le court terme, contrairement aux autres dépôts de brevets. En outre, les grands laboratoires pharmaceutiques effectuent principalement des dépôts de brevets cumulatifs. Le troisième chapitre analyse les déterminants technologiques des acquisitions. Le choix des cibles apparait étroitement lié à leurs performances en matière de dépôts de brevets pionniers. Le dernier chapitre montre que ces opérations ont permis aux acquéreurs d'accroître leurs performances à l'innovation dans le domaine des biotechnologies : les années suivant ces opérations, les acquéreurs accroissent plus rapidement que les non-acquéreurs la proportion de brevets biotechnologiques pionniers dans leur portefeuille de brevets
