This thesis studies whether the introduction of Solvency II Directive in the European insurance sector has created incentives for the non-life insurers to engage in geographically or strategically diversifying mergers to decrease their Solvency Capital Requirements (SCRs). Using an empirically calibrated theoretical model, I identify situations where insurers can increase their shareholder value by achieving lower capital requirements through consolidation. The gains from cross-border mergers are more sensitive to correct estimation of costs and risk characteristics of the consolidation partner than mergers that diversify into new business segments.
