The latest results involving rare decays and CP-violation of neutral B mesons, based on pp collisions collected during 2011 and 2012 at $\sqrt{s} = 7~\rm{TeV}$ and $8~\rm{TeV}$ respectively are presented. The first evidence for the rare decay $\rm{B^0_s \! \to \mu^+\mu^-}$ and the search for $\rm{B^0 \! \to \mu^+\mu^-}$ at the CMS experiment is presented, with the complete dataset of LHC run 1. An excess over the background only hypothesis is found for the $\rm{B^0_s}$, leading to measure $\mathcal{B}( \rm{B^0_s \! \to \mu^+\mu^-} ) = (3.0^{+1.0}_{-0.9})\times 10^{-9}$, while no significant excess is found for the $\rm{B^0}$ and the upper limit $\mathcal{B}( \rm{B^0 \! \to \mu^+\mu^-} ) < 1.1 \times 10^{-9}$ at 95~\% confidence level is se...
