Registered capital of a limited liability company Abstract This master thesis deals with the institution of the registered capital in a limited liability company, its meaning and its purpose. The aim of the master thesis is to evaluate the current legislation, to compare it with the adjustment of the registered capital in other countries (especially in Germany), as well as to propose its concrete improvements. The new legislation of the limited liability company is very different from the previous legislation; the abolition of the minimum registered capital is one change brought by the new legislation. This is the result, not the cause of questioning the registered capital as the creditor protection institute. The registered capital does not perform the guarantee function, because the regulation of the registered capital does not provide (and the neither did the previous Act) effective guarantees that the company will have funds corresponding to the amount of the registered capital after the establishment of the company as well as during the period of its existence. This is positive, especially because of great number of companies that have...Základní kapitál společnosti s ručením omezeným Abstrakt Tato práce se zabývá institutem základního kapitálu ve společnosti s ručením omezeným, jeho významem a smyslem. Cílem práce je přitom zhodnotit současnou právní úpravu, porovnat ji s úpravou základního kapitálu v jiných zemích (zejména v Německu) a navrhnout její konkrétní zlepšení. Nová právní úprava společnosti s ručením omezeným přinesla výraznou změnu oproti předchozí právní úpravě - zrušení minimálního základního kapitálu. To je důsledkem, nikoliv příčinou zpochybňování základního kapitálu jako institutu ochrany věřitelů. Garanční funkci totiž základní kapitál neplní, protože zákonná úprava základního kapitálu neposkytuje (a ani předchozí tak nečinila) účinné záruky, že společnost bude mít jak po svém vzniku, tak v průběhu své existence jakékoliv prostředky odpovídající výši základního kapitálu. Ostatní úprava ohledně reálné tvorby a udržení základního kapitálu byla (s výjimkami např. v podobě testu základního kapitálu) zachována, což je pozitivní zejména vzhledem k vysokému počtu společností, které mají výrazně vyšší než minimální základní kapitál. Práce dospívá k tomu, že z funkcí základního kapitálu platí zejména funkce signalizační, funkce počátečního zdroje a funkce pojítka smluvních prvků společnosti s ručením omezeným.
