Incentives of Stakeholders and development of Corporation: Problem of Coordination

Under the neoinstitutional theory the paper deals with the problem of creation of incentives to development of corporation. There is shown a weak standards of the best practice are not concerned to creation a motivation to long-term development of the enterprises. Conditions of primary development of internal mechanisms of a corporate governance in the Russian economy and prospects of development of the Russian corporations in the conditions of crisis come to light. Author stress the specific role of state of both shareholder and stakeholder in corporate relations.На основании неоинституциональной теории в работе рассматривается проблема создания стимулов к развитию корпорации у лиц, принимающих решения в фирме. Демонстрируется слабость существующих мировых стандартов лучшей практики корпоративного управления, нацеленных на создание у менеджеров и собственников мотивов к краткосрочному развитию компаний. Выявляются условия преимущественного развития внутренних механизмов корпоративного управления в российской экономике и перспективы развития российских корпораций в условиях кризиса. В работе делается акцент на особой роли государства как собственника и стейкхолдера в корпоративных отношениях
