Asunto-osakeyhtiön hallitus: tehtävät ja vastuu

The subject of this bachelor's thesis was the board of housing cooperative. The purpose was to introduce the administrative structure of housing cooperatives and then look more closely and specifically into the board of housing cooperatives and its task, duties and liabilities. One of the main goals was to assemble a kind of a guide or a manual for the present and future members of boards of housing cooperatives. Housing cooperative is a non-profit company form that is specialized in owning apartments. The history of housing cooperatives goes all the way back to the 19th century. This kind of form of living can be said to be a special product of the Finnish legal system and the same kind of system isn't much in use in many other countries anywhere else. The condominium-, corporation- and auditing legislation regulates the functions of housing cooperatives. The reform of the corporation law went trough in 2006 and auditing law in 2007, the reform of the condominium law is to come in 2010. The administrative structure of housing cooperatives consists of general meeting, board, superintendent and auditors and of possible additional personnel like maintenance personnel. The board usually consists of 3-7 members, more specific details about the boards' assembly can be found in the corporate by-law. Any specific education or statutory degree isn't required from the board members but they are expected to know at least the basics about the boards functions and tasks. Also the knowledge of legislation associated to housing cooperatives is expected. A chairman, who is selected among the members, leads the board. The board has several statutory tasks pointed out by the law and the number of these tasks tells a lot about the importance of the boards status in the structure of housing cooperatives. However most of these tasks are in practice managed by the superintendent and that's why one of the board's most important tasks is to select a professional and competent superintendent for the housing cooperative. According to the vast list of tasks the board also naturally has a vast corporate legal responsibility and compensation liability. The general meeting can grant a discharge from liabilities, if the board has acted rightfully and its functions don't contain anything to remark about. As it is made clear in this study, the biggest challenges in the future to housing cooperatives include the renewable legislation, aging buildings and the changes happening in the general economy and markets. Challenges also include the poor recruitment of new members and week attraction of the position. This can be improved by increasing communication within the housing cooperative, offering training and introduction to new members and by creating new compensation systems. Practical experiences were also mapped out by making an enquiry to real board members.Tämän opinnäytetyön keskeisenä aiheena oli asunto-osakeyhtiön hallitus. Tarkoituksena oli esitellä taloyhtiöiden hallintoa ja tutustua tarkemmin asunto-osakeyhtiön hallituksen toimintaan, lähemmin sen tehtäviin, vastuuseen ja velvoitteisiin. Yksi työn tavoitteista oli myös koota eräänlainen manuaali tai ohje nykyisille ja tuleville hallituksen jäsenille. Asunto-osakeyhtiö on voittoa tavoittelematon, asuntojen omistamiseen erikoitunut yhtiömuoto, jonka historia juontaa juurensa aina 1800-luvulle asti. Asuntoosakeyhtiömuotoisen asumisen voidaan sanoa olevan suomalaisen lainsäädännön erikoistuote, eikä vastaavanlaista järjestelmää ole käytössä juurikaan muissa maissa. Asunto-osakeyhtiön toimintaa säätelevät asunto-osakeyhtiö-, osakeyhtiö- ja tilintarkastuslainsäädäntö sekä yhtiöjärjestys, joka on taloyhtiökohtainen. Uusi osakeyhtiölaki tuli voimaan vuonna 2006 ja uusi tilintarkastuslaki 2007. Lisäksi uusi asunto-osakeyhtiölaki on valmisteilla ja tulee todennäköisesti voimaan vuonna 2010. Asunto-osakeyhtiön hallinto koostuu yhtiökokouksesta, hallituksesta, isännöitsijästä, tilintarkastajasta sekä mahdollisesta muusta henkilöstöstä, kuten huoltohenkilökunnasta. Hallitukseen kuuluu yleensä 3-7 jäsentä, tarkemmat tiedot hallituksen kokoonpanosta selviää aina taloyhtiön yhtiöjärjestyksestä. Mitään tarkempaa tai lakisääteistä koulutusta jäseniltä ei vaadita, mutta heidän oletetaan tietävän vähintään perusasiat hallituksen toiminnasta ja tehtävistä sekä toimintaa ohjaavasta lainsäädännöstä. Hallitusta johtaa jäsenien keskuudesta valittava puheenjohtaja. Hallituksen lakisääteisiä tehtäviä on useita ja niiden suuri määrä kertoo paljon hallituksen roolin tärkeydestä osana taloyhtiön hallintoa. Suurimman osan tehtävistä hoitaa kuitenkin käytännössä isännöitsijä ja siksi yksi hallituksen tärkeimmistä tehtävistä onkin valita taloyhtiölle ammattitaitoinen ja osaava isännöitsijä. Laajan tehtävälistan mukaisesti hallituksella on myös luonnollisesti laaja yhtiöoikeudellinen vastuu ja vahingonkorvausvelvollisuus. Yhtiökokous myöntää halutessaan hallitukselle tilikauden päätyttyä vastuuvapauden, mikäli hallituksen toiminnassa ei ole ollut mitään huomautettavaa. Kuten opinnäytetyössä selvitettiin, asunto-osakeyhtiön hallituksen tulevaisuuden haasteisiin lukeutuvat mm. uudistuva lainsäädäntö, vanheneva rakennuskanta sekä taloudessa ja markkinoilla tapahtuvat muutokset. Lisää haasteita tuo uusien jäsenten heikko rekrytointi ja tehtävän huono houkuttelevuus. Tätä voitaisiin parantaa mm. lisäämällä taloyhtiön sisäistä tiedottamista, tarjoamalla halukkaille koulutusta ja perehdytystä sekä kehittämällä uusia palkkiojärjestelmiä. Hallitustyöskentelyn mielekkyyttä tiedusteltiin myös tätä opinnäytetyötä varten muutamalla hallituksen jäsenellä teetetyn kyselyn avulla. Kyselyn perusteella hallituksen toiminnassa mukana olevat pitävät kuitenkin työtään hallituksessa tärkeänä ja haasteellisena
