The topic of this bachelors work is the legal status of a director in a limited liability company. The first chapter deals with legislation of a director in a limited liability company in a harmony with a new legislation valid from 1.1.2014. The second chapter describes demands on a director. Concretely demands on the impeccability, the legal capacity, demand on the absence of running a business and the assumption of absence of disqualification. The third chapter is divided into two parts and concentrates on the variations of a creation or termination of the function of a director in a LLC. The fourth chapter deals with rights and duties of a director. As important are considered "the rule of business judgement" and business management
