Založení a vznik společnosti s ručením omezeným

The aim of this work is to review new legislation in relation to a limited liability company, with an emphasis on changes that brought recodification. Bachelor thesis contains two main parts. The characteristics of limited liability company review is presented as well as a comparison of the original and the new legislation. The problematic of the issue of the European private company and a comparison of Czech and German companies with limited liability is also mentioned. The practical part deals with the specific requirements of the social contract of the limited liability company in which are discussed advantages and risks of selected version, including the addition of other alternatives brought by this new law regulation in this context
