The effect of board characteristics on corporate social responsibility (CSR) disclosure

CSR disclosure has become an important idiom in the corporate world. This paper examines the effect of corporate governance characteristics, specifically the board composition and ownership structure, on the extent of CSR disclosure. The sample consists of 74 companies in the Top 100 largest companies by market capitalization, listed on Bursa Malaysia. The results reveal that board size, board independenceboard qualification, family ownership and Malay director ownership positively influencing CSR disclosure. However, board cross directorship, CEO ownership and non-executive ownership show negative link to CSR disclosure
