Cenné papíry vydávané akciové společnosti v ČR a Rusku

The thesis is aimed at determining main characteristics of securities issued by a joint-stock company in the Czech Republic and Russian Federation and at comparing the most important differences between the Czech and Russian legislation in terms of issuing securities under both jurisdictions. The introductory part of the thesis is dedicated to the general history of securities and their predecessors; the basic terms related to the given topic are explained there and the securities are classified according to different criteria.The thesis is further divided into two main chapters and contains the characteristics of joint-stock companies and legal regulations providing for joint-stock companies in the Czech Republic and Russia; definitions of individual securities issued by joint-stock companies as well as rights and obligations associated therewith are also discussed.The final part of the thesis represents a summary of the most significant differences as regards both the functioning of a joint-stock company in the selected jurisdictions and the corporation securities.Tato diplomová práce se zabývá porovnáním problematiky cenných papírů vydávaných akciovou společností v České republice a Ruské federaci. Cílem mé práce je určit charakteristiky účastnických cenných papírů, které je oprávněna vydat akciová společnost v České republice a Ruské Federaci a vystihnout nejdůležitější rozdíly mezi českou a ruskou právní úpravou z pohledu emitování těchto cenných papírů v obou zemích. Úvodní část své práce věnuji obecné historii vzniku cenného papíru a jeho předchůdcům, vysvětluji základní pojmy související s danou problematikou a seznamuji čtenáře s klasifikací cenných papírů podle různých kritérií. Dále je práce logicky rozdělena do dvou hlavních kapitol a obsahuje charakteristiku a právní úpravu akciové společnosti v ČR a Rusku, a následně vymezuje charakteristiku jednotlivých cenných papírů, emitovaných a.s. a práv a povinností s nimi souvisejících. V závěru své práce uvádím shrnutí s nejdůležitějšími rozdíly jak z hlediska fungování akciové společnosti ve vybraných zemích tak i korporačních cenných papírů
