This conceptual paper searches the main reasons of appearance and emergence of the NGOs in the society. The NGOs’ contributions to the socio-economic development of the developing countries are widely acknowledged. The main reasons of the emergence and existence of NGOs are extracted through a critical analysis of Weisbrod’s Public Goods and Tax-subsidy theories. Hansmann’s Contract Failure theory and Freeman’s Stakeholder theory are also taken into cognizance. Number of reasons for the appearance and emergence of NGOs are identified.
