El abuso de la posición jurídica del socio

In the context of limited liability companies under Spanish law this paper aims to briefly address, firstly the rights of the general partners and secondly, the duty of loyalty and the social interest as the guiding elements for their actions in the development of social enterprise. After this, the author will study the most representative groups of cases from the perspective of the majority, minority and the partners who blocked decisions by its shareholder possession, taking into consideration the alternative solutions proposed by the Companies Act, and, in the absence of these, those raised by legal literature and case law, including the projection in corporate matters of the institution of abuse of rights enshrined in the Civil Code.En el contexto de las sociedades de capital en el derecho español, este trabajo pretende presentar brevemente los derechos de los socios en general junto con el deber de lealtad y el interés social como derroteros de sus actuaciones en el desarrollo de la empresa social. Una vez realizada esta tarea, se elaborará un estudio de los grupos de casos más representativos del ejercicio abusivo de los derechos del socio, desde una triple dimensión: como socio mayoritario, minoritario y socio de bloqueo, y también se expondrán las alternativas de soluciones propuestas en el seno de la Ley de Sociedades de Capital, y en ausencia de estas, las planteadas por la doctrina y la jurisprudencia, que incluyen, la proyección en materia societaria de la institución del abuso del derecho consagrada en el Código Civil
