La SAS en el Derecho Societario Colombiano: De un Institucionalismo de Forma Hacia un Nuevo Contractualismo

Without doubt, the provisions contained in Act 1258 of 2008 constitute a true evolution of company law in Colombia, and this is so for several reasons: (i) For trying to take the lead on the subject has been developed in comparative law, (ii) Why try to offer real and effective tools for entrepreneurs of our country, (iii) the novelty of a number of its institutions and, (iv) For above all and, in my opinion, through the law which created the simplified joint stock company in Colombia, is a proposal back to the contract, trying to regain the right of companies to private law, in response to the crisis of institutional theories-formal, material never - company law in our country, than trying to correct the excesses of the market, they give the principle of private autonomy and individual freedom affected, causing lethargy step in the way of making and understanding the right societies, and affecting the promotion and development of the Colombian company.Sin lugar a dudas, las disposiciones contenidas en la ley 1258 de 2008 constituyen una verdadera evolución del derecho de sociedades en Colombia, y esto es así por varias razones: (i) Porque intenta ponerse a la vanguardia que sobre el tema se ha venido desarrollando en el derecho comparado, (ii) Porque pretende brindar herramientas reales y efectivas a los empresarios de nuestro país, (iii) Por la novedad de un buen número de sus instituciones [1] y, (iv) Porque sobre todo y, en mi opinión, la ley por medio de la cual se crea la sociedad por acciones simplificada en Colombia, constituye una propuesta de regreso al contrato [2] , intentando recuperar el derecho de sociedades para el derecho privado, como respuesta a la crisis de las teorías institucionalistas �formales, que nunca materiales-, del derecho de sociedades en nuestro país, que intentando subsanar los excesos del mercado, hicieron ceder el principio de la autonomía de la voluntad privada y afectaron la libertad individual [3] , ocasionando de paso un letargo en la forma de hacer y entender el derecho de sociedades, y afectando la promoción y el desarrollo de la empresa colombiana
