Práticas de governança corporativa indicadas para monitoramento: uma análise do nível de adoção em cooperativas agropecuárias

ABSTRACTDispersed ownership implies the delegation of decision making of many owners to other agents, among which councils and managers. Because of the fact that various agents are related through incomplete contracts, subsequent decisions to the contract must be controlled and monitored with a focus on a better performance. It is in this context that an analysis of the practices that guide the system that governs the actions of these agents is relevant. This research analyzes the level of adoption of corporate governance practices in 27 agricultural cooperatives in the states of Minas Gerais and São Paulo. Through the application of a questionnaire elaborated from the listing of the governance codes of the Brazilian Institute of Corporate Governance (IBGC) and the Organisation for Economic Cooperation and Development (OECD) to monitoring mechanisms, it was possible to verify that there is no tendency to adoption of the so-called best governance practices listed by those codes. However, it was possible to observe that the governance structure and monitoring of cooperatives is limited to the legally established model, which can influence the decision-making style of managers
