The thesis aims to contribute to the literature on bank governance by examining the influence of board characteristics on the performance, risk exposure and capital structure adjustment of the U.S. banks. Chapter 2 sheds light on the importance of corporate governance and discusses in detail the mechanisms it offers to deal with the agency problems specific to banks. The chapter also provides a review of the extant literature on bank corporate governance and discusses how bank governance is different from the governance of non-financial firms.
