ANALISIS YURIDIS PUTUSAN MAHKAMAH AGUNG NO. 1698 K/PDT/2012 TENTANG PENOLAKAN PENYELENGGARAAN RUPSLB (Studi Kasus pada PT Techno Coal Utama Prima)

This research aims to analize the rejection of organizing RUPSLB did by Directors Council and Commissioner Council reviewed from Undang-Undang Nomor 40 Tahun 2007 about Limited Liability Company, and analize the result of Mahkamah Agung’s Verdict about the rejection of organizing RUPSLB at the request of shareholders by Directors Council and Commissioner Council reviewed from the legal considerations and Undang-Undang about Limited Liability Company. This kind of research is a normative law reasearch, with the method of libraries research with case studies towards petition rejection of organizing RUPSLB towards The Request of Shareholders by Directors Council and Commissioner Council in Verdict Nomor: 1698 K/PDT/2012. Based on the analysis that has been done, it was concluded that in case organizing RUPSLB experienced the rejection from Directors to organize it, then as has been arranged in Pasal 80 UU Limited Liability Company, shareholders may apply a petition to Pengadilan Negeri. In the case of the Mahkamah Agung’s Verdict Nomor 1698 K/Pdt/2012, it has been described that PT Techno Coal Utama Prima (Petitioner) has submitted petition of organizing RUPSLB to PT Ridlamata Tambang Mineral (Respondent), which is the petition rejected with the motive that share ownership by Cassation Petitioner to PT Ridlamata Tambang Mineral was unclear yet and still in dispute
