This master thesis focuses on the risks that can impact the board effectiveness. Firstly, we developed a review of literature gathering the different roles of a board of directors and the different risks which could be detrimental for fulfillment of these roles. After that, we conducted fourteen interviews of directors in order to get their experience and opinions. It allowed us to compare the theory with a practical view about the existing risks impeding the board effectiveness.Master [120] en sciences de gestion, Université catholique de Louvain, 201
