Necesidad de implementar en la legislación societaria peruana a la sociedad unipersonal sobreviniente

In strict compliance with the Regulations of the Postgraduate School of the National University of Trujillo, I present to you the thesis titled: "Need to implement in Peruvian corporate legislation the unipersonal society supervening." The problem that I raise in the present investigation is: Should the General Law of Peruvian Companies regulate within its type of societies the Universonal Company Survivor, since it is in practice the way in which some groups of commercial companies operate? . The Formulated Hypothesis is: The inclusion of the Unipersonal Company supervening in the General Law of Societies will regulate a subject of current exigency, generating a sincerity of the reality of many societies constituted by more than one partner; But in practice they operate with the will of one of them. The Theoretical Framework of the present investigation has been divided into chapters, analyzing as first point the antecedents of the research problem, that is to say from where our subject is born to investigate, then to make the justification to our investigation problem, later we will realize our theoretical framework , Which analyzed the doctrine referring to the General Law of Societies, in addition to the Modifications of Corporate Constitution, Civil Societies, the so-called Commercial Companies, as well as are composed through the Plurality of Partners, then we analyze the Single- Irregular Society and the Dissolution of Full Right. Continuing as a Second Point with the description of the Materials and Methods used, such as the techniques and instruments that have been used, as Third Point the Results have been made, as the Fourth Point the Discussion of the same was made, ending with the Conclusions And Recommendations. For the investigation, the method has been used: Inductive-deductive, as main technique was used the interview which was applied to 10 experts in the subject in order to know their position regarding the research topic. The contrast of the thesis on the Need to implement in the Peruvian corporate legislation to the unipersonal society supervening, has led me to demonstrate the hypothesis.En estricto cumplimiento del Reglamento de la Escuela de Post Grado de la Universidad Nacional de Trujillo, presento a ustedes la tesis titulada: “Necesidad de implementar en la Legislación Societaria Peruana a la Sociedad Unipersonal Sobreviniente”. El problema que planteo en la presente investigación es: ¿La Ley General de Sociedades Peruana debe regular dentro de su tipología de sociedades a la Sociedad Unipersonal Sobreviniente, dado que la misma es en la práctica la forma como se desenvuelven algunos grupos de sociedades comerciales?. La Hipótesis Formulada es: La inclusión de la Sociedad Unipersonal sobreviniente en la Ley General de Sociedades regulará un tema de exigencia actual, generando un sinceramiento de la realidad de muchas sociedades constituidas por más de un socio; pero que en la práctica operan con la voluntad de uno de ellos. El Marco Teórico de la presente investigación ha sido dividido en Capítulos, analizando como primer punto los antecedentes del problema de investigación, es decir de donde nace nuestro tema a investigar, para luego realizar la justificación a nuestro problema de investigación, después realizaremos nuestro marco teórico, donde se analizó la doctrina referente a la Ley General de Sociedades, además de las Modalidades de Constitución Societaria, las Sociedades Civiles, las denominadas Sociedades Comerciales, así como están compuestas a través de la Pluralidad de Socios, después analizamos las Sociedades Unipersonales, la Sociedad Irregular y la Disolución de Pleno Derecho. Prosiguiendo como Segundo Punto con la descripción de los Materiales y Métodos empleados, tales como son las técnicas e instrumentos que se han utilizado, como Tercer Punto se han realizado los Resultados, como Cuarto Punto se realizó la Discusión de los mismos, terminando con las Conclusiones y Recomendaciones. Para la investigación, se ha empleado el método: Inductivo-deductivo, como técnica principal se utilizó la entrevista la cual se aplicó a 10 expertos en la materia con el fin de conocer su posición respecto del tema de investigación. La contrastación de la tesis sobre la Necesidad de implementar en la legislación societaria peruana a la sociedad unipersonal sobreviniente, me ha llevado a la demostración de la hipótesis planteada.Tesi
