CAMPUR TANGAN PIHAK KETIGA TERHADAP DOKUMEN PEMBAYARAN PERDAGANGAN EKSPORT - IMPORT (LETTER OF CREDIT) DI INDONESIA

Transaction of export-import (foreign) trading has essentially been a simple transaction not more than selling and buying goods among entrepreneurs who have domiciles in different countries. In transactions of the export-import trading, the form of payment 'with Letter of Credit (L/C) has been recognized. Within the development stage, L/C was initially based only on the mutual confidence between Buyer / Importer and Seller/Exporter. Seller/Exporter only gained the guarantee that the payment would be made with the service of Bank. This circumstance turned to Bank which opened credit on the basis of instruction of the Buyer/Importer. This Understanding is currently found in opening L/C. Thus, in addition to the Exporter and the Importer, Bank as the third party will be involved, Bank is a party that can provide confidence and assurance to the exporter that the payment will be paid by the Bank in accordance with the requirements in the L/C. The basis for opening L/C used by the Bank is terms of L/C specified by the Bank in relation to Sales Contract which has been agreed by the Exporter-Importer beyond the Bank's in evolvement. Legal provisions regulating and putting into ef&ct towards the L/C are the provisions regulated in the Uniform Customs and Practice for Documentary Credit 1993 (UCP 1993). Based on the provisions all parties concerned in the performance of L/C will deal with documents, not goods. Accordingly, the Bank in undertaking review is purely based on the documents presented to and reviews whether the terms of L/C have been met or not. From this study, the writer essentially draws conclusions as follows : 1. Intervention of the third party, particularly Bank, is only toward documents, not goods. Review by the Bank on the documents is that the Bank can assure that according to the apparent overview the documents conform to the terms and provisions in opening L/C. Determination of whether the documents adheres to the requirements or the credit condition (L/C) is mutually consistent with based only on the review withy review methods conducted by the Bank, not based on other's judgement. 2. Legal relations among the parties are as follows : - The legal relation between the Importer and Exporter is a relation of selling and buying law, so that the provisions of articles 1457 to articles 1532 of the Code of Civil Laws about, selling and buying are subject to. The legal relation between the Bank and the Importer is a relation of empowerment law by providing the wage and doing the job.- The legal relation between the seller/Exporter and the Bank depends on type of the L/C opened. On the revocable L/C the Exporter's stand is weak so that the Bank is not tied to the Seller/Exporter taking into account on this type of L/C the Bank can make revocation any time without any agreement from the Exporter. On the irrevocable LI/C the Exporter's stand is strong and assured because the Bank has tied itself to and cannot make any revocation any time. 3. As long as the respective parties meet and complete the requirements intended in the L/C, it can be said that LH will provide the large benefits to the parties and that is a save fashion in sustaining the fluency of export . import tradings. Transaksi perdagangan ekspor-impor (luar negeri) pada hakekatnya merupakan transaksi sederhana yang tidak lebih dari membeli dan menjual barang antara pengusaha-pengusaha yang bertempat di negara-negara yang berbeda. Dalam transaksi perdagangan ekspor-impor tersebut dikenal bentuk cara pembayaran dengan Letter of Credit (L/C). Di dalam tahap perkembangannya, semula L/C didasarkan hanya saling percaya antara Pembeli/Importir dan Penjual/Eksportir. Penjual/Eksportir hanya mendapat jaminan bahwa pembayaran akan dilakukan dengan jasa Bank. Keadaan ini berubah menjadi Bank yang membuka kredit atas instruksi Pembeli/Importir. Pengertian dalam bentuk inilah yang sekarang dijumpai dalam pembukaan L/C. Dengan demikian dalam pembukaan L/C tersebut selain Ekportir dan Importir akan terlibat pihak ketiga yaitu Bank. Bank merupakan pihak yang dapat memberikan kepercayaan dan kepastian kepada eksportir bahwa pembayaran akan dilakukan oleh Bank sesuai dengan persyaratan-persyaratan yang terdapat dalam L/C tersebut. Dasar bagi pembukaan L/C yang digunakan oleh Bank adalah syarat-syarat L/C yang ditetapkan oleh Importir berkaitan dengan sales contract (kontrak jual bell) yang disepakati oleh Eksportir-Importir diluar keterlibatan Bank. Terhadap L/C tersebut ketentuan hukum yang mengatur dan berlaku terhadapnya adalah ketentuan-ketentuan yang diatur dalam Uniform Customs and Practice for Documentary Credit 1993 (UCP 1993). Berpijak pada ketentuan tersebut maka semua pihak yang bersangkutan dalam penyelenggaraan L/C akan berurusan dengan dokumen-dokumen dan tidak dengan barang-barang. Dengan demikian Bank didalam melakukan pemeriksaan semata-mata atas dasar dokumen-dokumen yang diajukan kepadanya dan meneliti apakah syarat¬syarat L./C tersebut telah dipenuhi. Adapun kesimpulan dari penelitian ini pada pokoknya meliputi 1. Campur tangan pihak ketiga khususnya Bank hanya terhadap dokumen¬dokumen dan tidak dengan barang. Pemeriksaan oleh Bank atas dokumen¬dokumen adalah cukup sampai Bank tersebut dapat memastikan bahwa menurut penglihatan pada permukaan atau secara nyata adalah sesuai dengan syarat-syarat dan ketentuan-ketentuan pembukaan L/C. Penentuan apakah dokumen-dokumen sesuai dengan persyaratan atau kondisi kredit (L/C) dan telah sesuai satu sama lain hanya didasarkan pada pemeriksaan dengan metode pemeriksaan yang dilakukan oleh Bank bukan berdasarkan pendapat orang lain. 2. Hubungan hukum antara pihak adalah : - Hubungan hukum antara Importir dan Eksportir merupakan hubungan hukum jual bell, sehingga ketentuan pasal 1457 s/d pasal 1532 KUH Perdata tentang jual beli berlaku terhadapnya. - Hubungan hukum antara Bank dan Importir merupakan hubungan hukum pemberian kuasa dengan pemberian upah dan melakuan pekerjaan.- Hubungan hukum antara Penjual/Eksportir dengan Bank bergantung pada jenis L/C yang dibuka. Pada L/C revocable kedudukan Eksportir lemah sehingga Bank tidak terikat dengan Penjual/Eksportir mengingat pada jenis L/C ini Bank dapat membatalkan setiap waktu tanpa persetujuan Eksportir. Pada L/C irrevoable kedudukan Eksportir lebih kuat dan terjaniin karena Bank telah mengikatkan diri dan tidak dapat membatalkannya sewaktu¬waktu. 3. Sepanjang masing-masing pihak memenuhi dan melengkapi persyaratan yang dikehendaki dalam L/C dapat dikatakan L/C akan memberikan manfaat yang besar bagi para pihak dan merupakan cara yang aman dalam menunjang kelancaran perdagangan ekspor-impor
